ROSTER SPORTS – END USER LICENSE AGREEMENT (EULA)

This End User License Agreement (“Agreement” or “EULA”) is a legal contract between you (“User,” “you,” or “your”) and Munission, LLC, a Puerto Rico limited liability company (“Munission,” “we,” “us,” or “our”), governing your access to and use of the Roster Sports mobile application (the “App”) made available for download through the Apple App Store, Google Play Store, or any affiliated platforms. By downloading, installing, or using the App, you agree to be bound by this Agreement and our Privacy Policy located at https://www.rostersports.app/privacy-policy. If you do not agree, do not download, install, or use the App.
1. LICENSE GRANT
Subject to the terms of this Agreement, Munission grants you a limited, non-exclusive, non-transferable, revocable license to install and use one copy of the App on a compatible mobile device solely for lawful personal or recreational use related to the organization and participation in local adult sports games (“Roster Games”).
You may not:
• Copy, modify, or create derivative works of the App;
• Reverse engineer, decompile, or disassemble any part of the App;
• Sell, rent, lease, sublicense, distribute, or transfer the App or your rights under this Agreement;
• Access the App to build a competing product or service; or
• Use the App for any unlawful, abusive, or commercial purpose.
2. ELIGIBILITY & ACCOUNT REGISTRATION
The App is intended for users aged 18 or older. By using the App, you represent that you are of legal age to form a binding contract and reside in the United States.
You must provide accurate and complete registration information and keep your credentials confidential.
3. DEFINITIONS
Manager – A user who organizes a Roster Game or season.
Regular Player – A user designated by a Manager as a recurring participant.
Alternate Player – A user designated as an alternate to fill in when Regular Players are unavailable.
Ambassador – An independent user or promoter who refers Managers to Roster Sports under the Ambassador Program.
4. PAYMENTS, FEES & FINANCIAL INTERACTIONS
Roster Sports facilitates but does not process payments between Managers and Players. Payments occur directly between users through third-party peer-to-peer (“P2P”) services such as Venmo.
1. Roster Fees. Munission charges fees for App use that are included within user-to-user payments: $10 per season per Regular Player and $2.50 per game per Alternate Player. Managers are responsible for paying these Roster Fees to Munission via the credit card provided at signup, typically seven (7) days after their first and last game dates of a season.
2. Independent Transactions. Munission does not hold, transfer, or control user funds and is not a party to transactions between Players and Managers. You agree that all P2P transactions are conducted at your own risk.
3. Refunds. All payments are final unless otherwise required by law. Users may request review of special circumstances by contacting support@rostersports.app.
4. Future Subscription Models. Munission reserves the right to introduce subscription or premium models in the future with appropriate notice.
5. USER CONDUCT
You agree not to misuse the App, including through:
• Harassment, discrimination, or abusive behavior in chats or messaging (“Smack Channel”);
• Posting illegal, defamatory, or infringing material;
• Attempting to interfere with other users, servers, or networks;
• Engaging in fraudulent activity or impersonation.
Munission may suspend or terminate any user account for violating these rules.
6. USER-GENERATED CONTENT (UGC)
Users may create, upload, or share text or images within group chats. By posting UGC, you grant Munission a worldwide, non-exclusive, royalty-free license to host, store, and display such content solely for operating and improving the App.
You retain ownership of your UGC but represent that you have all necessary rights to post it. Munission reserves the right to remove any content that violates this Agreement or applicable law.
7. COMMUNITY GUIDELINES
Roster Sports promotes friendly competition and respect among players. The following are strictly prohibited:
• Hate speech or threats of violence;
• Harassment or bullying of any participant;
• Posting explicit or illegal content;
• Sharing others’ personal data without consent.
Violations may result in content removal, account suspension, or permanent ban.
8. DATA COLLECTION & PRIVACY
Roster Sports collects limited personal data (first name, last name, email, phone number, and Venmo handle) to operate the App.
Data is stored securely in Google Firebase and analyzed through Google Analytics. Munission does not sell, share, or use your data for advertising purposes.
Your use of the App constitutes acceptance of our Privacy Policy, which explains data handling, retention, and deletion.
9. UPDATES & CHANGES
Munission may update, patch, or modify the App at any time to enhance functionality or address compliance. Continued use of the App following updates constitutes your acceptance of those changes.
10. INTELLECTUAL PROPERTY
All intellectual property in the App including its design, software, features, graphics, and trademarks is owned and retained by Munission, LLC.

11. DISCLAIMERS
THE APP AND ALL SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.
MUNISSION DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY IMPLIED WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE.
YOUR USE OF THE APP AND PARTICIPATION IN ANY GAMES ARRANGED THROUGH IT ARE AT YOUR OWN RISK.
12. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MUNISSION SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR SPECIAL DAMAGES, INCLUDING LOST PROFITS OR DATA. MUNISSION’S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THIS AGREEMENT SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).
13. INDEMNIFICATION
You agree to indemnify and hold harmless Munission and its officers, employees, and affiliates from any claims, losses, or expenses arising out of:
• Your use or misuse of the App;
• Your participation in games organized via the App;
• Your breach of this Agreement; or
• Any violation of another person’s rights.
14. TERMINATION
Munission may suspend or terminate your license and account immediately without notice if you breach this Agreement.
Upon termination, you must cease all use of the App and delete all copies. Sections regarding intellectual property, disclaimers, limitations, and indemnification will survive termination.
15. THIRD-PARTY SERVICES
The App integrates with third-party platforms such as Venmo, Apple, Google, and Firebase.
Your use of those services is subject to their own terms and privacy policies. Munission has no responsibility for third-party acts, omissions, or service outages.
16. APP STORE TERMS & THIRD-PARTY BENEFICIARIES
You acknowledge that this Agreement is between you and Munission only, not Apple or Google.
Apple Inc. and Google LLC are third-party beneficiaries of this Agreement and may enforce its terms against you.
You must also comply with all applicable App Store and Play Store terms of service.
17. GOVERNING LAW & DISPUTE RESOLUTION
This Agreement shall be governed by the laws of the Commonwealth of Puerto Rico.
Any dispute shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in San Juan, Puerto Rico.
You waive the right to participate in a class or representative action.
18. SEVERABILITY & ENTIRE AGREEMENT
If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in effect.
This Agreement, together with the Privacy Policy, constitutes the entire agreement between you and Munission regarding use of the App.
